Separation of
Structural Ownership
from Execution
"49G Holding Ltd holds the shares in its three subsidiaries and the group's core intellectual property. Its mandate is to look after those ownership interests, set the standards attached to its brand rights and decide how its own assets are used."
A focused mandate: own the companies, steward the intellectual property, and exercise each owner-level responsibility through the proper authority.
HOLDING'S MANDATE
Matters reserved to the boardHold subsidiary shares and exercise shareholder rights
Own and steward core platform and specialist intellectual property
Maintain the brand standards attached to its rights
Decide reserved matters concerning its assets and company interests
Maintain its corporate records and appoint authority for its own acts
These responsibilities are exercised by Holding in its own capacity, through its board and the authority recorded for each act.
A Deliberate Division of Responsibilities
"Shared ownership connects the companies; it does not merge their responsibilities. Holding decides as shareholder and IP owner. Each subsidiary decides and contracts in its own capacity through its own corporate authority."
One Core Product, Distinct Capabilities
BitLease Platform is the group's core product. Its CoreCo role has one holder at a time; specialist capabilities have their own assignments.
Owner-Level Decisions
Holding decides matters concerning its shares, core IP and brand rights. Each named operator takes responsibility for its assigned capability through its own corporate authority.
The Parent Treasury
Holding manages its own resources in its own capacity. Funding a subsidiary requires a board-approved equity subscription or a written, board-approved loan on arm's-length terms. Each company keeps its own accounts and remains responsible for the obligations it takes on.
Authority Recorded
The board's decision and the authority to carry it out are recorded separately. A delegated task identifies the company, scope and limits of the authority given; signing follows that authority.
Stewardship of Intellectual Property
"Holding's IP responsibilities include the core software, architecture, models and documentation assigned to it, together with its brand assets. Provenance and assignment records distinguish these rights from third-party components and the information used by operating companies."
49G Holding Ltd: company ownership, core intellectual property and owner-level governance.
